These terms apply when a company (the "Partner") submits an application through Codepole's partner form, including CVs of consultants for an assignment. By submitting an application, the Partner confirms that it has read and accepts these terms.
The terms are provided by:
Company: Codepole AB
Corporate ID no.: 559205-1477
VAT no.: SE559205147701
Address_ Kungsvägen 29, 182 79 Stocksund, Sweden
Codepole AB is referred to below as "Codepole", "we" or "us".
Submitting an application does not make the applicant a partner. Before accepting a Partner, Codepole reviews the company to confirm that it:
Codepole may repeat this review at any time during the partnership. Codepole decides, at its sole discretion, whether to accept an application.
By submitting an application, the Partner agrees that Codepole may present the Partner as part of Codepole's partner network. This includes using the Partner's company name and logo, and describing its services, on Codepole's website, in sales material and in offers and tenders to clients.
Codepole has the right to store information about the Partner company and about the consultants whose CVs or details the Partner submits. The information is used to evaluate the application, match consultants to assignments, and present them to clients and in tenders.
The Partner confirms that each consultant has been informed about, and has agreed to, their CV and personal data being shared with Codepole for these purposes. Codepole processes personal data in line with the EU General Data Protection Regulation (GDPR). Consultants may contact Codepole to access, correct or delete their personal data.
Codepole may end a partnership at any time, for any reason and without notice. Ending the partnership also ends Codepole's right to market the Partner as part of its network.
Accurate information. The Partner guarantees that all information submitted, including CVs, references, skills and availability, is correct and up to date. The Partner informs Codepole without delay if a consultant becomes unavailable.
Use in tenders and as subcontractor. Codepole may name the Partner and its consultants in tenders, including public procurements, and may engage the Partner as a subcontractor in assignments and call-offs under framework agreements.
Exclusion grounds. The Partner confirms that neither the company nor anyone in its board or management is subject to any ground for exclusion under the Swedish Public Procurement Act (LOU), such as bankruptcy, liquidation or conviction for serious crime. The Partner informs Codepole immediately if this changes.
Client requirements. In an assignment, the Partner and its consultants follow the client's requirements, including security and background checks, codes of conduct, and Codepole's quality policy.
Confidentiality. The Partner keeps confidential all information about Codepole, its clients, tenders and pricing that it receives through the partnership, both during and after the partnership.
Insurance. The Partner holds liability insurance appropriate for the assignments it takes on, and shows proof on request.
No circumvention. During an assignment and for 12 months after, the Partner does not contract directly with a client that Codepole introduced, for the same or similar services, without Codepole's written consent.
Sustainability and ethics. The Partner complies with applicable law, including labour law, anti-corruption and anti-discrimination rules.
An application does not oblige Codepole to offer any assignment. Each assignment is governed by a separate written agreement, which takes precedence over these terms.
Codepole may update these terms. The version published on the website applies.
These terms are governed by Swedish law. Disputes are settled by a Swedish general court, with Stockholm District Court as first instance.
